LLC Company Formation in Oman for Foreign Investors

Last reviewed: 11 August 2026.

LLC company formation in Oman creates a limited liability company owned by two or more natural or juristic persons under the current Commercial Companies Law. “LLC” means “Limited Liability Company.” It normally has a legal identity separate from its shareholders, whose liability for company debts is generally limited to their shares. The form can suit co-founders, corporate groups and joint ventures, but does not by itself approve ownership, activities, banking, residence or operations. Before filing, agree percentages, manager powers, signing rules, protected decisions, transfers and exit.

Quick answer: An Oman LLC is a limited liability company with share capital divided into equal-value shares. Under the Commercial Companies Law text reviewed on 11 August 2026, it normally has between two and fifty natural or juristic shareholders. Activity eligibility, ownership, management, approvals and current filing practice must still be confirmed for the live case.

How an Oman LLC works

An LLC is an incorporated Omani company, not a private shareholder agreement. It can own assets, contract, employ and invoice in its own name when required licences are in place.

Its capital is divided into equal-value shares. Each shareholder holds an agreed number or percentage, and those shares should be recorded in the constitutive documents and commercial record. LLC shares are not public-market securities, and the company cannot use public subscription to raise or increase capital.

Limited liability protects shareholders from ordinary company debts beyond their shares, but not every personal claim. Guarantees, fraud, unlawful conduct or personal contracts can create exposure. Managers may also face responsibility for breached duties, excess powers or legal violations.

One or more natural-person managers run the LLC. A manager may be a shareholder or another eligible person. Company documents should define authority. An authorised signatory is recorded or validly empowered to sign specified matters; management and signing are related but distinct.

Shareholders approve reserved matters, managers run the business, and signatories act within valid powers. Banks, regulators and counterparties may request proof of each layer.

Who may use an LLC?

An LLC can include different shareholder combinations, subject to the activity, ownership rules and approval route.

Foreign individual shareholders

Two or more foreign individuals may use an LLC where the activity permits their ownership. Nationality, residence and customer location can still affect documents, identity, banking and licensing.

Mixed Omani and foreign shareholders

Omani and foreign shareholders may co-own an LLC when permitted. Adding an Omani shareholder does not automatically approve a restricted activity, and nominal arrangements create legal, banking and tax risk.

Foreign corporate shareholders

A foreign company may be an LLC shareholder. Its file usually needs parent documents, resolutions, UBO data, appointments and required legalisation or translation. Compare sole ownership through an SPC, co-ownership through an LLC and a branch.

Subsidiary and joint-venture context

An LLC can serve as a multi-owner subsidiary or joint venture. Map ownership, manager appointment, protected decisions, funding and exit in enforceable Omani documents rather than only emails or an overseas template.

How many shareholders can an Oman LLC have?

Article 234 of the Commercial Companies Law text reviewed on 11 August 2026 states that an LLC consists of not fewer than two and not more than fifty natural or juristic persons. It limits their liability for company debts to the value of their shares.

This number should still be checked against the current Arabic law, amendments, implementing regulations and live authority practice before filing. A regulatory requirement or sector law may also make another form more appropriate.

Where there is only one owner, the relevant limited-liability form is generally the One-Person Company, or SPC. The guide to an Oman SPC for a single owner explains that route. Do not add a second shareholder merely to call the company an LLC when the real ownership is single; equally, do not use an SPC if another person genuinely owns equity.

If shares later fall into one person’s hands, succession, transfer or conversion rules can apply. If the number exceeds the statutory maximum, another structure may be needed. These edge cases require a live legal and registrar check.

Can an LLC be 100% foreign-owned?

Yes, an Oman LLC may be fully foreign-owned when all shareholders are foreign and the exact activity, investment route and sector rules permit that ownership. This is possible in many activities, but not every activity is open.

The ownership review should separate three questions:

  • Is the exact activity code open to foreign investment?
  • Does another regulator impose an ownership, qualification or approval condition?
  • Does the selected legal form fit the number and type of shareholders?

Read the guide to 100% foreign ownership for an Oman LLC, use the Oman Business Activity Finder to identify possible codes, and review the foreign-investment Negative List. Final acceptance remains with the competent authorities and the live system.

Do not rely on the old assumption that every foreign LLC needs a fixed Omani share percentage. Also avoid the opposite assumption that full foreign ownership is unconditional. The activity and regulator remain decisive.

LLC vs SPC vs branch

The correct structure depends on ownership, liability, governance, contracting and expansion. The overview of company types in Oman owns the broader comparison; this table focuses on the three routes most often confused by foreign investors.

A branch is not merely a cheaper LLC. It is linked to the foreign parent and has different liability and eligibility implications. Review the foreign parent branch and representative-office routes before choosing.

Governance decisions to make before registration

Governance is the practical core of an LLC. A short incorporation form cannot resolve an unclear shareholder relationship.

Share percentages and economic rights

Agree who contributes cash, assets, expertise, customers or intellectual property and what the company receives in return. Share capital contributions must follow the permitted legal form; services or labour should not casually be described as a capital contribution. Record profit distribution, funding duties and shareholder loans correctly.

A 50/50 split may feel equal but can create deadlock if the documents do not provide a solution. Unequal percentages can also create minority-protection concerns. The right percentage is a commercial and legal decision, not a default template.

Manager appointment and powers

Decide whether there will be one manager or several, whether they act individually or jointly, and which transactions have financial or subject-matter limits. The law gives managers broad authority to act for company objectives unless valid restrictions are documented and, where required, registered.

For a non-shareholder manager, the current regulation requires the appointment route through the electronic platform and written consent from the proposed manager. Confirm the live document and system requirements at filing.

Authorised signatory rules

The authorised signatory should be selected under the Commercial Companies Regulation as amended in 2025 and the company’s documents. The current categories include shareholders, the owner of capital, board members, managers and specified financial or administrative employees. Do not appoint an unrelated outside person on the assumption that a broad power of attorney will automatically qualify them for registration. The company manager and authorised-signatory eligibility guide explains these role distinctions in detail.

Define what the signatory may sign: government applications, bank instructions, employment documents, leases, contracts, tax filings or litigation appointments. Banks and authorities may apply their own forms in addition to the CR record.

Reserved shareholder decisions

List matters that managers cannot approve alone, such as major borrowing, guarantees, related-party transactions, new activities, large contracts, asset sales, capital changes, dividends, appointment of senior officers, litigation settlement, new shareholders or closure. Review manager powers and shareholder protections in an Oman LLC when drafting those controls.

The thresholds should match the company’s size. Requiring unanimous approval for every payment can paralyse operations; giving one manager unlimited authority can expose all shareholders.

Voting, deadlock and information rights

Specify notice, quorum, voting thresholds, meeting records and access to accounts. Plan what happens if shareholders disagree: escalation, mediation, buy-out mechanics, a casting arrangement where lawful, or another defined exit. Deadlock drafting should be reviewed by licensed Omani counsel because imported shareholder-agreement clauses may not work as intended.

Share transfer, new investment and exit

Agree valuation method, transfer restrictions, pre-emption or first-offer rights, permitted family or group transfers, tag-along or drag-along concepts where appropriate, and treatment of death, incapacity, default or insolvency. The constitutive documents, separate shareholder agreement and Commercial Companies Law must work together.

This checklist is not a substitute for constitutive documents or a shareholder agreement. It identifies the decisions that should be resolved before a generic filing makes them expensive to change.

Documents for individual and corporate shareholders

Individual shareholders commonly prepare passport and identity details, residential address and contact information, proposed ownership percentage, UBO data, manager or signatory information and any activity-specific evidence. Residence status can affect the identity and signing route.

A foreign corporate shareholder may need:

  • certificate of incorporation or current commercial extract;
  • constitutional documents;
  • resolution approving the Oman investment, activity, shares, capital, manager and signatory;
  • power of attorney for defined filing steps where accepted;
  • group ownership chart and ultimate beneficial owner details;
  • passports and addresses of relevant controllers and appointees;
  • legalisation, attestation and Arabic translation where required.

Document names and certification vary by country. Confirm them before attestation. Banks may request source-of-funds, group, contract and commercial-purpose evidence beyond the registrar’s file.

LLC registration sequence — concise overview

  1. Define the business model, customers, transactions and ownership.
  2. Confirm activity codes, foreign-ownership eligibility and regulators.
  3. Compare LLC, SPC, branch and any sector-specific form.
  4. Agree governance and prepare shareholder, manager, signatory and UBO documents.
  5. Select the name, capital or grade and company address plan.
  6. Submit through the current Oman Business route, complete identity checks and sign the constitutive documents.
  7. Pay confirmed government charges and obtain the Commercial Registration.
  8. Complete investment licensing and post-registration activation separately.

LLC formation costs in Oman

There is no reliable single answer to “How much does LLC registration cost in Oman?” without the shareholder file and operating model. Separate the budget into:

  • government registration, name, chamber and CR charges;
  • capital or company-grade selection;
  • activity and regulator approval costs;
  • foreign corporate-document, legalisation and translation costs;
  • premises, municipality, inspection and sector-licence costs;
  • investment licence, tax and accounting work;
  • banking preparation and bank charges;
  • owner or employee residence and immigration steps;
  • professional legal, tax and setup support.

A headline price can exclude operational items. Use the Oman company setup cost estimator for an indicative mainland budget, then add documents, approvals, premises, banking and working capital. It is not a government invoice.

Capital, company grade and activity approvals

The Commercial Companies Law provides that LLC capital is stated in the constitutive documents, divided into equal nominal-value shares and fully paid on registration. Practical proof, valuation and bank-document requirements should be checked in the current filing and banking process. The separate LLC capital contributions and minimum-capital guide explains the distinction between stated capital, funding and required proof.

Keep three concepts separate:

  • Declared capital: the amount recorded in company documents and the CR.
  • Paid contribution: the shareholder’s actual contribution to the company.
  • Blocked bank deposit: money a bank or authority specifically requires to remain restricted, if applicable.

Do not assume a declared figure is automatically a permanently frozen deposit. Do not assume it is meaningless either. The capital should align with the documents, shareholder obligations and real financing plan.

CONTRIBUTED

RESTRICTED

Confirm the required proof in the current filing and banking process; keep each record consistent with the shareholder obligations.

Company grade can affect registration charges and commercial positioning, but it does not approve extra activities, foreign ownership, tenders, visas or banking. Activity codes and sector approvals remain separate. Verify all numerical capital and grade thresholds in the live system on the filing date rather than copying an old chart.

Office, bank account, residence and staffing

An LLC must have an address record, but the premises needed for operation depend on the activity and authority. A consultancy and a clinic, workshop, restaurant or warehouse do not have the same location requirements. Confirm suitability before committing to a long lease.

A CR allows the LLC to apply for a corporate bank account; it does not guarantee approval. Banks review shareholders, UBOs, source of funds, activity, customers, expected payments, countries, premises and commercial purpose. Use the guide to Oman corporate bank readiness before approaching a bank.

Company registration and residence are separate approvals. Shareholders, managers or employees must qualify under an available immigration and labour route. Staffing also depends on activity, occupations, labour permissions and Omanisation rules. Map the expected team before promising start dates.

What happens after the LLC receives its CR?

The CR confirms the legal company record, not complete operational activation. A foreign-invested LLC may need the current investment licence. The company may also need tax registration, chamber and municipality steps, sector approvals, beneficial-owner records, accounting controls, a bank account, labour-file activation, immigration processing, customs access, product registration, premises inspection or employment contracts.

Create one owner for each task and a deadline register. Keep the company email, phone, platform access and authentication under controlled company ownership rather than one outside service provider. The full post-CR activation checklist explains these workstreams separately.

Changes, share transfers and company closure

Ownership, managers, signatories, activities, address and capital can change, but each amendment has legal, registrar, bank, tax, UBO, licensing and contract consequences. A private share-sale agreement alone does not update the Commercial Registration.

Before a transfer, check shareholder approval, transfer restrictions, valuation, pre-emption rights, corporate authorisations, foreign-ownership eligibility, regulator consent and document certification. Update bank and authority records after the registered change.

If the owners decide to stop, use a formal liquidation or other lawful closure route. Do not abandon the CR, employees, tax file, bank account or debts. Gov.om provides a current company liquidation request service; qualified legal and accounting support may be necessary.
